Below is a sample contract to give you an idea of how easy it is to work with Network Syndicates, LLC. This contract may be modified to meet your organizations particular needs. Many universities have standard vendor agreements they require all vendors to sign and Network Syndicates, LLC is happy to comply with these agreements.
Contract for Services Rendered
Agreement Between The Parties:
This contract is entered into between Network Syndicates LLC (hereinafter referred to as “the Provider”) and [CLIENT NAME] (hereinafter referred to as “the Client”) located at [CLIENT ADDRESS], on this date, [DATE].
The Client hereby engages the Provider to provide services as described under “Scope and Manner of Services.” The Provider hereby agrees to provide the Client with such services in exchange for consideration as described under “Payment for Services Rendered.”
Scope and Manner of Services:
Under the obligations of this contract, the Provider will implement a full service array of marketing strategies to foster a close relationship with the Client’s various constituents (alumni, parents friends) for the purpose of cultivating annual gifts to the organization. Strategies devised by the Provider will incorporate the use of cultivation letters, newsletters, emails, and the various social media tools available. The Provider will design layout and content of text used for each project and will work closely with the Client during the development of these projects to ensure the themes adopted are in accordance with the image and culture of the Client’s organization and how it wishes to present itself to its constituents. The Provider will prepare all content for printing and mailing and will seek approval from the Client for each project before the project goes to print.
The Client Commitment:
The Client will provide its best efforts to make the Provider aware of the culture of its organization and how it best wishes to be represented to its constituents. The Client will work closely with the Provider to monitor the substance and tone of the way the Provider represents the Client to ensure such representations are compatible with these values at all times. The Client will provide basic information to the Provider to facilitate and enhance the cultivation letters, newsletters, emails and social media communications to the Clients constituents. The Client agrees to pay the cost of all printing and mailing associated with projects associated with marketing its organization providing it has approved each project’s content and cost in advance.
Payment for Services Rendered:
The Client agrees to pay the Provider the agreed upon monthly sum of $_____________ within 7 days of the 1st of each month immediately following the month of service.
Termination of Agreement:
This contract is in effect until terminated by either party. Either party may terminate this agreement with a written 15-day prior notice to the other party. Notification may be made via email using email addresses typically used by both parties to communicate. Final payment for any services rendered will be due and payable within 30 days of the termination date. There is no termination fee for termination of this contract.
In the Case of Dispute:
In the case of a dispute between the Provider and the Client, both parties agree in advance that given the month-to-month nature of this agreement, the best course of action will be to immediately terminate this agreement.
Ownership Rights:
All work created and provided by the Provider on the behalf of the Client becomes the property of the Client. This includes graphic materials (photographs) all forms of social media, printed material (newsletters, cultivation letters, etc). The Provider makes no claims of ownership to any content produced on behalf of the Client once the customer pays for the written product.
